I. Introduction & Acceptance

These Terms & Conditions ("Terms") form a legally binding agreement between you and DELTRIX TECHNOLOGIES LLP ("we", "us", "our", or "GritPlay"), a limited liability partnership registered in Ahmedabad, Gujarat, India, operating under the brand name GritPlay through the website https://gritplay.in ("Platform").

By accessing or using the Platform — including browsing courts, creating an account, making a booking, or processing a payment — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, please discontinue use of the Platform immediately.

II. Definitions

• "Platform" — the GritPlay website at https://gritplay.in, including all pages, features, and services offered therein.
• "Venue Owner" / "Venue Partner" — a sports facility owner or operator who has subscribed to GritPlay's venue management software to list and manage their courts on the Platform.
• "Customer" / "User" / "you" — any individual who accesses the Platform to discover, search for, or book a sports court.
• "Booking" — a confirmed reservation of a court for a specified date and time slot, made through the Platform.
• "Confirmation Code" — a unique code issued upon a confirmed booking, used for check-in at the venue.
• "Booking Fee" — a payment processing fee of approximately 3% of the amount paid per transaction, charged by Cashfree (our payment gateway). This fee is not an additional charge on top of the booking amount; it is deducted from the amount collected. The Booking Fee is non-refundable under all circumstances.
• "Total Booking Amount" — the amount displayed and charged at checkout for a specific booking, inclusive of applicable taxes.
• "Services" — the online court discovery and booking service provided to Customers, and the venue management SaaS software provided to Venue Owners.

III. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding contract under applicable Indian law to use this Platform. By using the Platform, you represent and warrant that you meet these requirements.

If you are under 18, your use must be authorised and supervised by a parent or legal guardian, who shall be responsible for compliance with these Terms.

IV. Description of Services

GritPlay provides two distinct services:

1. Consumer Booking Platform: Customers can discover sports courts, check real-time availability, and make bookings directly through the Platform. All bookings are made through GritPlay. Customers do not transact directly with Venue Owners through the Platform. If a Customer contacts a Venue Owner directly and the venue creates a booking on their behalf, such a transaction falls outside the scope of GritPlay's responsibility.
2. Venue Management SaaS: GritPlay provides Venue Owners with software tools to manage their courts, pricing, availability, staff access, and booking records. Use of this service is governed by a separate agreement between GritPlay and the Venue Owner.

GritPlay acts as a technology facilitator and booking intermediary. We do not own, operate, or control any of the physical venues or courts listed on the Platform. The quality, safety, cleanliness, and availability of facilities is solely the responsibility of the respective Venue Owner.

V. Account Registration

Venue Owners and their staff must create an account to access the management dashboard. Customers are not required to create an account to make a booking.

• You agree to provide accurate, complete, and current information during registration and to keep it updated.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• Any activity conducted through your account is your sole responsibility, whether or not authorised by you.
• You must notify us immediately at admin@gritplay.com if you suspect any unauthorised access to your account.
• GritPlay reserves the right to suspend or terminate any account found to be in violation of these Terms, without prior notice.

VI. Venue Owner Responsibilities

By listing your venue on the Platform, you agree to:

• Provide accurate and up-to-date information about your courts, pricing, availability, and facilities.
• Honour all bookings confirmed through the Platform and ensure the court is available at the booked time.
• Set a clear and fair cancellation and refund policy, which must be communicated to Customers before they complete a booking. Any disputes arising from your policy are your sole responsibility.
• Ensure your venue complies with all applicable laws, safety standards, licensing requirements, and local regulations.
• Not use Customer contact information obtained through the Platform for any purpose other than facilitating a specific booking.

GritPlay is not responsible for disputes between Customers and Venue Owners, including but not limited to disputes over venue quality, court availability, facility conditions, or cancellations.

VII. Customer Booking Terms

• Bookings can be made without creating an account. A Booking is considered confirmed only upon successful payment and issuance of a Confirmation Code.
• Pending bookings (where payment has not been completed) do not guarantee or reserve a slot and will expire automatically.
• The Confirmation Code must be presented at the venue at the time of check-in. GritPlay is not responsible for denied entry in the absence of a valid, unexpired Confirmation Code.
• Customers are responsible for arriving at the venue on time. No refunds are provided for late arrivals or no-shows.
• Customers must comply with the rules, code of conduct, and policies of the respective venue during their session.
• GritPlay is not responsible for any injury, loss, theft, or damage occurring at a venue.
• Pricing is determined by the Venue Owner and may vary by time slot, day of the week, or court type. The final amount will always be shown before payment is initiated.

VIII. Payments & Booking Fee

• All payments are processed securely through Cashfree, our authorised payment gateway. By completing a payment, you agree to Cashfree's terms and conditions.
• The amount displayed at checkout is the total amount charged to the Customer.
• A Booking Fee of approximately 3% of the amount paid per transaction is retained by Cashfree as a payment processing charge. This fee is:
  • Deducted from the amount collected — it is not an additional charge to the Customer.
  • Non-refundable under any circumstances, including cancellations initiated by the Customer.
• The Platform supports full payment and partial payment options. In the case of a partial payment, the Booking Fee applies to each transaction based on the amount paid in that transaction.
• You agree to provide accurate and valid payment information. GritPlay is not responsible for failed transactions due to incorrect payment details, insufficient funds, or issues with your bank or payment provider.
• GritPlay does not store your card details, UPI IDs, or other sensitive payment credentials.

IX. Cancellations & Refunds

a. Venue-Specific Cancellation Policy

Each Venue Owner independently sets their cancellation and refund terms. The applicable policy is displayed on the venue's booking page before the Customer completes their booking. By confirming a booking, the Customer agrees to the venue's policy. GritPlay does not override, modify, or guarantee the terms set by any Venue Owner.

b. No-Shows

Customers who do not show up for a booked session without prior cancellation are not eligible for any refund.

c. Venue-Initiated Cancellations

If a Venue Owner cancels a confirmed booking, the Customer is entitled to a full refund of the net amount paid (i.e., the total paid minus the non-refundable Booking Fee).

d. Refund Processing

Approved refunds will be credited to the original payment method within 5–7 working days of the cancellation being confirmed.

e. Disputes

Refund-related disputes must be raised with us at admin@gritplay.com within 3 days of the relevant booking date. For detailed information, refer to our Cancellation & Refund Policy.

X. Communications & Notifications

By making a booking through the Platform, you expressly consent to the following:

• GritPlay storing your name and phone number in its systems for booking records and operational purposes.
• Receiving booking confirmation messages and booking-related updates via SMS or WhatsApp.
• Receiving promotional offers, discount codes, and marketing communications from GritPlay from time to time.

You may opt out of promotional communications at any time by contacting us at admin@gritplay.com. Transactional messages such as booking confirmations cannot be opted out of, as they are necessary for the service.

XI. Prohibited Conduct

When using the Platform, you agree not to:

• Provide false, misleading, or fraudulent information during booking or registration.
• Make bookings with no intent to attend or to manipulate court availability for others.
• Use a payment instrument that does not belong to you or that you are not authorised to use.
• Attempt to gain unauthorised access to any part of the Platform, other users' accounts, or our systems.
• Use bots, scrapers, crawlers, or any automated tools to access, copy, or extract data from the Platform without prior written consent from GritPlay.
• Reverse-engineer, decompile, or tamper with any part of the Platform's software or infrastructure.
• Impersonate any person, entity, or GritPlay employee.
• Engage in any activity that could damage, overload, or impair the Platform's functionality.
• Use the Platform for any purpose that is unlawful under applicable Indian laws.

GritPlay reserves the right to terminate access and pursue appropriate legal remedies for any violation of this section.

XII. Intellectual Property

All content on the Platform — including but not limited to text, design, graphics, logos, software, trademarks, and the GritPlay brand — is owned by or licensed to DELTRIX TECHNOLOGIES LLP.

You are granted a limited, non-exclusive, non-transferable, and revocable licence to use the Platform solely for its intended purpose. You may not reproduce, redistribute, sell, sublicense, modify, or create derivative works from any part of the Platform without prior written consent from GritPlay.

XIII. Disclaimers

• The Platform is provided on an "as-is" and "as-available" basis. GritPlay makes no warranties, express or implied, regarding the accuracy of venue listings, court availability, or suitability for a particular purpose.
• GritPlay is not responsible for the quality, safety, maintenance, or availability of physical venues and courts listed on the Platform.
• We do not guarantee uninterrupted access to the Platform and may perform maintenance or updates at any time without prior notice.
• GritPlay does not endorse, certify, or vouch for any Venue Owner or their facilities.

XIV. Limitation of Liability

To the maximum extent permitted by applicable law, DELTRIX TECHNOLOGIES LLP shall not be liable for any indirect, incidental, special, punitive, or consequential damages — including loss of revenue, loss of data, or bodily injury — arising out of or in connection with your use of the Platform or any venue booked through it.

In all cases, GritPlay's total liability shall not exceed the net amount you paid for the specific booking in question (i.e., the Total Booking Amount minus the non-refundable Booking Fee).

XV. Indemnification

You agree to indemnify, defend, and hold harmless DELTRIX TECHNOLOGIES LLP, its partners, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any booking made through your account.

XVI. Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and storage of your personal data as described in that policy.

XVII. Amendments

GritPlay reserves the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Platform after any such update constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

XVIII. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

• For disputes arising out of or relating to a specific booking or venue, the courts in the city where the concerned venue is located shall have jurisdiction.
• For disputes relating to GritPlay's platform services in general, the courts of Ahmedabad, Gujarat shall have exclusive jurisdiction.

Both parties agree to first attempt resolution through good-faith negotiation before initiating any formal legal proceedings.
